Micromem Announces Proposed Private Placement

Toronto, Ontario and New York, New York--(Newsfile Corp. - September 4, 2026) - Micromem Technologies Inc. (CSE: MRM) (OTCQB: MMTIF) ("Micromem" or the "Company") announces the intention to proceed with a non-brokered private placement (the "Private Placement") by placing common share units at a price of CAD $0.025 per unit (a "Unit") for a total of up to CAD $160,000, subject to a 50% discretionary increase. Each Unit is comprised of one common share and one warrant exercisable at CAD $0.05 per share for a period of three years.
