The Common Shares issued under the Offering were purchased by the former members of the Arizona Sonoran Copper Company Inc. team who are joining the Hercules team.

The Options vest in three equal tranches, with one-third vesting immediately, and the remaining two-thirds vesting on the first and second anniversaries of the grant date, respectively.

C$4.5 Million Personal Investment by Incoming Management: In connection with their recently announced appointments, George Ogilvie and the other members of the former Arizona Sonoran Copper Company Inc. team (collectively, the "Arizona Sonoran Team") committed to personally invest an aggregate of C$4.5 million in Hercules through a non-brokered private placement, to align their interests with shareholders and demonstrate conviction in the underlying value of Leviathan and the Company's new strategic direction. Following the separate announcement of the Arizona Sonoran Team appointments on July 30, 2026, the Company is now announcing its intention to complete a non-brokered private placement to facilitate this investment (the "New Management Investment").
