On August 5, 2026, Smythe LLP, Chartered Professional Accountants (“Smythe”) resigned at the request of the Company and the Company's Board of Directors resolved to appoint Davidson as the Company's successor auditor (the “Change of Auditor”). Smythe's resignation did not occur due to any reportable disagreement or unresolved issue involving the Company – or any consultation with Davidson – and was considered, approved and recommended by the Audit Committee of the Board along with the decision to appoint Davidson as successor auditor.
