(TSX.V: CCDS; OTCQB: CCDSF; WKN: A40XB1) (the “Company” or “Carrier”) is pleased to announce that it has completed its previously announced acquisition (the “Acquisition”) of a data center and related assets (the “Assets”) from Rochester Colo, LLC (“Rochester Colo”), a leading provider of colocation services in upstate New York. In connection with the Acquisition, the Company, along with its wholly owned subsidiary PureColo Inc. (the “Subsidiary”), entered into an asset purchase agreement (the “Asset Purchase Agreement”) dated June 8, 2026 with Rochester Colo. Pursuant to the terms of the Asset Purchase Agreement, the Subsidiary or an affiliate of the Subsidiary acquired the Assets. In consideration for the Acquisition, the Company issued 800,000 common shares in the capital of the Company (the “Consideration Shares”), and the Subsidiary paid or caused to be paid $250,000 in cash (of which $25,000 had previously been paid as a deposit), each to Rochester Colo. The Consideration Shares were escrowed and will be released in four equal tranches at 6, 12, 18 and 24 months following August 4, 2026.
